End User Licence Agreement

1. Parties and Scope

This End User Licence Agreement ("EULA") is a legal agreement between you (either an individual or a legal entity, "Licensee") and Agovern Technologies Pvt Ltd ("Licensor", "Xenetra"), the developer and publisher of the Xenetra platform and Collector Agent software.

This EULA applies to:

• The Xenetra Collector Agent — the lightweight software binary installed on Windows, Linux, and macOS endpoints
• The Xenetra platform software — backend services, APIs, and frontend application components
• Any updates, patches, or new versions of the above released by Xenetra during your Subscription Term
• Any documentation accompanying the software

2. Licence Grant

Subject to the terms of this EULA and your active subscription to the Xenetra platform, Xenetra grants you a:

• Non-exclusive — the licence does not prevent Xenetra from licensing the software to others
• Non-transferable — you may not transfer or assign this licence to any third party
• Revocable — Xenetra may revoke this licence if you violate its terms
• Limited — licence to install and use the software solely for your organisation's internal AI agent governance purposes

For MSSP customers with an active MSSP Agreement, you may deploy the Collector Agent on your clients' devices subject to the terms of your MSSP Agreement and this EULA.

3. Permitted Use

You may:

• Install the Collector Agent on any number of devices that you own or have explicit administrative authority over
• Use the software to discover and monitor AI agents on those devices for your internal governance programme
• Make one archival backup copy of the Collector Agent binary
• Use the software in conjunction with your Xenetra platform subscription to report discovered agents to the Xenetra governance platform
• Deploy the Collector Agent silently via enterprise deployment tools (Group Policy, SCCM, MDM) across your managed device fleet

4. Restrictions

You must not:

• Install or run the Collector Agent on devices you do not own or have authorisation to manage
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the software
• Modify, adapt, translate, or create derivative works based on the software
• Remove, alter, or obscure any copyright notices, trademarks, or other proprietary notices within the software
• Use the software to monitor individuals in a manner that violates applicable privacy laws or your own privacy policy
• Distribute, sublicense, rent, lease, or lend the software to any third party (except as permitted under an MSSP Agreement)
• Use the software to collect data beyond what is described in Section 5 of this EULA
• Circumvent or disable any security or licensing mechanisms within the software

5. What the Software Collects

The Xenetra Collector Agent is designed with privacy by default. It operates using five detection planes:

• Process scanning: names and PIDs of running processes — never command-line arguments containing credentials
• Network scanning: remote IP addresses and ports of active connections — never packet contents or payload data
• Filesystem scanning: file and directory paths and names matching AI tool signatures — never file contents
• Credential detection: presence of AI API key patterns in environment variables — keys are identified and flagged, never transmitted in full (only a masked preview)
• File event monitoring: real-time detection of new files created in AI tool installation paths — never file contents

All collected metadata is transmitted over TLS 1.3 to the Xenetra platform endpoint configured during installation (default: api.xenetra.ai). Data is associated with your Organisation ID and stored in your isolated tenant.

6. Privacy and Data

Data collected by the Collector Agent is processed in accordance with our Privacy Policy and, where applicable, any Data Processing Agreement executed between your organisation and Xenetra.

You are responsible for:

• Informing your employees that the Collector Agent is deployed on their devices, in accordance with applicable employment and privacy laws
• Ensuring you have appropriate legal basis to deploy endpoint monitoring software in your jurisdiction
• Complying with any works council, union, or employee consultation requirements before deploying the software

7. Intellectual Property

The Xenetra Collector Agent and all associated software are the exclusive property of Agovern Technologies Pvt Ltd. The software is protected by copyright laws, patent applications (including the ARIA Fusion Engine — patent applications pending in India and internationally), and other intellectual property rights.

This EULA grants you a licence to use the software — it does not transfer any ownership or intellectual property rights to you.

"Xenetra", "ARIA", "AIGA", and the Xenetra logo are trademarks of Agovern Technologies Pvt Ltd. You may not use these marks without prior written permission.

8. Updates and Support

During your Subscription Term, Xenetra may release updates, patches, or new versions of the software. Updates may be delivered automatically or require manual installation. You agree to install security updates promptly.

Xenetra reserves the right to discontinue support for older versions of the Collector Agent. We will provide at least 90 days' notice before end-of-life of a major version.

9. Warranties

Xenetra warrants that the software will perform materially in accordance with its documentation for a period of 90 days from installation ("Warranty Period"). If the software does not perform as warranted, your exclusive remedy is to report the issue to Xenetra and receive a reasonable fix or workaround.

EXCEPT AS STATED ABOVE, THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. XENETRA EXPRESSLY DISCLAIMS ALL OTHER WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

XENETRA DOES NOT WARRANT THAT THE SOFTWARE WILL DETECT EVERY AI AGENT ON A DEVICE (DETECTION IS PROBABILISTIC), OR THAT IT WILL OPERATE WITHOUT INTERRUPTION OR ERROR ON ALL DEVICE CONFIGURATIONS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL XENETRA BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, BUSINESS, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THIS EULA OR THE SOFTWARE, EVEN IF XENETRA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

XENETRA'S TOTAL AGGREGATE LIABILITY UNDER THIS EULA WILL NOT EXCEED THE FEES PAID BY YOU FOR THE SOFTWARE IN THE 12 MONTHS PRECEDING THE CLAIM, OR INR 10,000, WHICHEVER IS GREATER.

11. Term and Termination

This EULA is effective from the date you install the software and continues until terminated. It terminates automatically if your Xenetra platform subscription expires or is terminated.

You may terminate this EULA at any time by uninstalling all copies of the software from your devices.

Xenetra may terminate this EULA immediately if you breach any of its terms. Upon termination:

• Your licence to use the software immediately ceases
• You must uninstall and delete all copies of the software from your devices
• Any data transmitted to the Xenetra platform before termination remains subject to the platform's data retention policy

Sections 7, 9, 10, and 13 survive termination of this EULA.

12. Export Compliance

The software may be subject to export control laws and regulations. You agree to comply with all applicable export and re-export restrictions and regulations. You represent that you are not located in, under the control of, or a national or resident of any country subject to applicable trade sanctions.

13. Governing Law

This EULA is governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any disputes shall be subject to the exclusive jurisdiction of the courts in Bangalore, Karnataka, India.
